Agreement
Acceptance
By accessing the website, submitting a request or receiving services, you agree to these terms, our Privacy Policy and our Disclosures. If you do not agree, do not use the website or our services.
Order of precedence
If you sign a master services agreement, statement of work or proposal with Test2 AI Inc., that signed document controls where it conflicts with these terms. Otherwise these terms apply to all services.
Changes
We may update these terms at any time by posting a new version on this page. Changes take effect when posted. Continued use of the website or services after a change means you accept the updated terms.
Use of the website
Information only
Website content is general information about our services. It is not a proposal, offer, warranty or professional, legal or compliance advice, and it may change or be removed without notice.
Acceptable use
You may not misuse the website, including by interfering with its operation, attempting unauthorized access, scraping it at scale, submitting unlawful or harmful content, or using it to build a competing service.
Intellectual property
The website, its text, design, logos and materials are owned by Test2 AI Inc. or its licensors. You may view and share pages for your internal evaluation of our services; any other use requires our written permission.
Third-party links and services
The website may reference or use third-party products and services, such as Google Forms. We do not control them and are not responsible for their content, availability, terms or privacy practices.
Professional services
Scope
Services are described in a written proposal or statement of work. Work outside that written scope is not included unless we agree to it in writing, and may be subject to additional fees.
Your responsibilities
You are responsible for providing timely access, environments, accurate information, data you have the right to share, subject-matter reviewers and decisions. Delays or gaps in these inputs may affect timelines, fees and results.
Evaluation results are evidence, not guarantees
AI systems are probabilistic and change over time. Our evaluations describe observed behavior under documented test conditions. They do not guarantee that any AI agent, model or system will be accurate, reliable, safe, compliant or fit for any purpose.
Your decisions remain yours
You alone decide whether, when and how to build, change, release or operate any AI agent or system, and you are solely responsible for those decisions and their outcomes, including outcomes affecting your customers, employees and third parties.
Third-party platforms
Our work may involve clouds, models, evaluation tools and other platforms that you license and control. We are not responsible for their performance, availability, pricing, changes, outages or terms, and their usage costs remain yours.
Fees and payment
Fees, expenses and payment terms are set out in the applicable proposal or statement of work. Unless stated otherwise, invoices are due within 30 days, and late amounts may accrue interest at the lesser of 1.5% per month or the maximum rate allowed by law.
Deliverables and ownership
On full payment, you receive ownership of, or a perpetual license to use internally, the deliverables created specifically for you. We retain all rights in our pre-existing and generally applicable methods, tools, templates, know-how and materials, and you receive a non-exclusive license to use any of them embedded in deliverables.
Aggregated insights
We may use de-identified and aggregated information derived from our services, which does not identify you or your customers, to improve and develop our methods and services.
Confidentiality
Each party will protect the other's non-public information disclosed for the services with reasonable care and use it only for the services, except information that is public, already known, independently developed or required to be disclosed by law.
Non-solicitation
During services and for 12 months afterward, you will not directly solicit for employment or engagement any Test2 personnel who worked on your services, without our written consent.
Independent contractor
Test2 AI Inc. is an independent contractor. Nothing in these terms creates a partnership, joint venture, agency or employment relationship.
Disclaimers and limitation of liability
Disclaimer of warranties
To the maximum extent permitted by law, the website, content and services are provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement and results.
Exclusion of damages
To the maximum extent permitted by law, Test2 AI Inc. and its officers, employees, contractors and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data, goodwill or business opportunity, or for any damages arising from the behavior of any AI agent or system or from your release decisions, however caused and even if advised of their possibility.
Liability cap
To the maximum extent permitted by law, our total liability for all claims relating to the website or services will not exceed the fees you actually paid to Test2 AI Inc. for the specific services giving rise to the claim during the 12 months before the claim arose, or US$100 if you have not purchased services.
Basis of the bargain
You agree that these disclaimers and limitations are a fundamental part of the agreement between you and Test2 AI Inc. and apply even if a limited remedy fails of its essential purpose. They do not limit liability that cannot be limited under applicable law.
Indemnification
You will defend, indemnify and hold harmless Test2 AI Inc. and its officers, employees, contractors and agents from any claims, losses, damages, liabilities and expenses, including reasonable attorneys' fees, arising from your use of the website or services, your AI agents or systems, your data, your decisions or your breach of these terms.
Time to bring claims
Any claim relating to the website or services must be brought within one year after it arises, or it is permanently barred, to the extent permitted by law.
Governing law and disputes
Governing law
These terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules.
Venue
You agree that any dispute will be resolved exclusively in the state or federal courts located in the State of Florida, and you consent to their personal jurisdiction.
Jury trial waiver
To the extent permitted by law, each party waives any right to a trial by jury in any dispute relating to the website or services.
Class action waiver
Disputes will be brought only on an individual basis, not as a plaintiff or class member in any class, collective or representative proceeding, to the extent permitted by law.
General
Force majeure
We are not responsible for delays or failures caused by events beyond our reasonable control, including outages of third-party platforms, internet or utility failures, natural events and government actions.
Termination
We may suspend or end access to the website or decline or stop services at any time. Sections that by their nature should survive, including fees owed, ownership, confidentiality, disclaimers, liability limits, indemnification and disputes, survive termination.
Entire agreement and severability
These terms, together with any signed agreement and our policies, are the entire agreement on their subject. If any provision is unenforceable, it will be limited to the minimum extent necessary and the rest remains in effect.
Assignment and waiver
You may not assign these terms without our written consent. We may assign them, including in a merger or sale of business. Our failure to enforce a provision is not a waiver.
